Agreement to Terms

By accessing or using DentalDrive ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

Service Scope and Intended Use

Important Notice:

DentalDrive is a general-purpose cloud backup and file storage service designed for dental practice business operations. This service is intended for administrative documents, training materials, employee records, and general business files.

DentalDrive is NOT:

  • An Electronic Health Record (EHR) system
  • A Practice Management System (PMS)
  • Marketed or certified for storing Protected Health Information (PHI)
  • A substitute for HIPAA-compliant medical record systems

User Responsibility: Users are solely responsible for determining whether their use case requires HIPAA compliance and for ensuring compliance with all applicable regulations. If you need to store patient health information, please use certified EHR/PMS systems designed specifically for that purpose.

1. Service Description

DentalDrive is a cloud-based backup and data management solution designed specifically for dental practice business operations. The Service provides:

  • Automated backup and sync of dental practice management software data
  • Cloud storage with enterprise-grade encryption
  • Windows desktop client for local synchronization
  • Web dashboard for monitoring and management
  • Version history and point-in-time recovery

2. User Accounts

Account Creation

To use the Service, you must create an account. You agree to:

  • • Provide accurate, current, and complete information
  • • Maintain and update your information to keep it accurate
  • • Maintain the security of your password
  • • Accept responsibility for all activities under your account
  • • Notify us immediately of any unauthorized use

Account Termination

We reserve the right to suspend or terminate your account if:

  • • You violate these Terms
  • • You provide false information
  • • Your account is used for illegal activities
  • • You fail to pay applicable fees
  • • Your account poses a security risk

3. Acceptable Use

You agree not to use the Service to:

Prohibited Activities

  • • Violate any laws or regulations
  • • Infringe intellectual property rights
  • • Transmit malware or harmful code
  • • Attempt unauthorized access
  • • Interfere with Service operation
  • • Share account credentials

Content Restrictions

  • • Upload illegal content
  • • Store non-dental-related data
  • • Exceed storage quotas
  • • Circumvent access controls
  • • Reverse engineer the Service
  • • Resell or redistribute access

4. Payment Terms

Subscription Fees

  • • Subscription fees are billed monthly or annually in advance
  • • Prices are subject to change with 30 days' notice
  • • You authorize automatic recurring charges
  • • All fees are non-refundable except as required by law
  • • Taxes are additional where applicable

Free Trial

We may offer a free trial period. By starting a free trial:

  • • You must provide valid payment information
  • • You will be charged automatically after the trial ends
  • • You can cancel anytime before the trial expires
  • • One free trial per customer/practice

Cancellation

  • • You may cancel your subscription at any time
  • • Cancellation takes effect at the end of the current billing period
  • • No refunds for partial months or unused time
  • • Data retention: 90 days after cancellation

5. Data and Privacy

Your Data Rights

You retain all rights to your data. We collect and process your data as described in our Privacy Policy.

Data Ownership

You own all data you upload to the Service. We do not claim ownership of your dental practice data or business documents.

Data Use

We use your data only to provide the Service, improve our products, and comply with legal obligations. We never sell your data to third parties.

Data Security

We implement industry-standard security measures including AES-256 encryption, enterprise-grade security, and regular security audits. See our Security page for details.

Data Export

You can export your data at any time in standard formats. We provide tools for bulk export through the web dashboard.

6. Intellectual Property

Service Ownership

The Service, including all software, designs, text, graphics, and other content, is owned by DentalDrive and protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You may not:

  • • Copy, modify, or create derivative works
  • • Reverse engineer or decompile the software
  • • Remove copyright or proprietary notices
  • • Use our trademarks without permission

7. Warranties and Disclaimers

IMPORTANT DISCLAIMER

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

While we strive for 99.99% uptime and maintain robust security measures, we do not guarantee:

  • • Uninterrupted or error-free operation
  • • Complete security from unauthorized access
  • • Compatibility with all systems or software
  • • That defects will be corrected immediately

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DENTALDRIVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months preceding the claim.

Some jurisdictions do not allow limitations on implied warranties or liability for incidental or consequential damages, so these limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless DentalDrive, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • • Your use of the Service
  • • Your violation of these Terms
  • • Your violation of any rights of another party
  • • Any data you upload to the Service

10. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration, except:

  • • Small claims court actions
  • • Injunctive or equitable relief
  • • Intellectual property disputes

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • • Updating the "Last Updated" date
  • • Sending an email to your registered address
  • • Displaying a prominent notice in the Service

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
